1) Scope of Services

1.1 We offer:

• Software development, IT consultancy, training & workshops.
• Business advisory, admin & light accounting support.
• Visa/application guidance (student, visitor, other) and documentation prep.
• Passport/government application assistance.
• Travel & air-ticket support (as an agent; we are not an airline or carrier).

1.2 Details, deliverables, timelines and fees are set out in our quote, email confirmation, or Statement of Work (“SOW”).

2) Quotes, Fees & Payment

• 2.1 Quotes are valid for 14 days unless stated otherwise.
• 2.2 We may request a deposit or staged payments. Work may pause if invoices are overdue.
• 2.3 Prices exclude taxes/third-party fees unless stated. You’re responsible for any government, visa, courier, consular, platform or carrier charges.
• 2.4 Payments are non-refundable once work is performed or third-party costs have been incurred (see §10).

3) Client Responsibilities

• 3.1 Provide accurate information, timely feedback, approvals, and access needed to deliver services.
• 3.2 Ensure you have lawful rights to all materials you provide.
• 3.3 Review and confirm documents before submission; notify us promptly of changes.

4) Visa, Applications & Travel Disclaimers

• 4.1 We do not provide legal or immigration advice; we offer administrative guidance and document preparation only. For legal advice, consult a qualified solicitor/adviser.
• 4.2 Decisions on visas, passports, permits, or applications are made solely by the relevant authority. We cannot guarantee outcomes or processing times.
• 4.3 For travel/ticketing we act as an agent. Airlines, carriers, hotels or platforms set their own terms (baggage, changes, cancellations, schedules). You must review those terms; all travel is subject to the supplier’s conditions.

5) Software, IT & Deliverables

• 5.1 Unless otherwise agreed in writing, we deliver work compatible with the stack and browsers defined in the SOW.
• 5.2 Minor defects will be fixed during an agreed warranty period after delivery (typically 14–30 days) for scope-compliant issues.
• 5.3 Ongoing maintenance, hosting, security monitoring or new features are outside initial scope unless included in a support plan.

6) Acceptable Use & Content

• 6.1 You must not use our services or deliverables to break laws, infringe IP/privacy, distribute malware, or harm systems.
• 6.2 We may refuse, suspend, or terminate work that we reasonably believe is unlawful or harmful.

7) Intellectual Property

• 7.1 Pre-existing IP remains the property of the original owner.
• 7.2 Upon full payment, you receive a license or ownership as stated in the SOW/quote (commonly: you own the bespoke deliverables; we retain rights to our libraries, tools, and know-how).
• 7.3 We may reference non-confidential outcomes in our portfolio unless you object in writing.

8) Confidentiality & Data

• 8.1 Each party will keep the other’s confidential information private and use it only to deliver the services.
• 8.2 We process personal data in line with our Privacy Policy (see the Privacy modal). You must only send data you are permitted to share and comply with applicable data protection laws.

9) Third-Party Services

• 9.1 We may recommend or integrate third-party platforms (e.g., payment, hosting, email, travel). Those services are governed by their own terms; you are responsible for accounts, fees, and compliance.
• 9.2 We are not liable for availability or changes made by third parties.

10) Changes, Cancellations & Refunds

• 10.1 Change requests may affect fees and timelines; we will confirm before proceeding.
• 10.2 If you cancel before delivery, you’ll pay for work done and any non-recoverable third-party costs.
• 10.3 For travel, refunds or changes follow the airline/supplier’s policies (which may be restrictive). Service fees are non-refundable once rendered.

11) Warranties & Liability (Important)

• 11.1 We provide services with reasonable care and skill. Except as required by law, we make no other warranties (including fitness for a particular purpose or uninterrupted operation).
• 11.2 We are not liable for: (a) decisions by authorities; (b) third-party platform or carrier actions; (c) indirect or consequential loss (e.g., loss of profits, business, data); (d) delays outside our control.
• 11.3 Our total aggregate liability for any claim arising from the services is limited to the fees you paid for the specific service giving rise to the claim, except where the law does not allow such limitation.

12) Force Majeure

12.1 We are not responsible for delays or failures caused by events beyond our reasonable control (e.g., outages, strikes, government actions, emergencies).

13) Termination

• 13.1 Either party may terminate for material breach if not cured within 14 days of written notice.
• 13.2 On termination, you’ll pay for work completed and third-party costs incurred.

14) Website Use

• 14.1 Website content is for general information and may change without notice.
• 14.2 You must not attempt to damage, reverse-engineer, or misuse the site.
• 14.3 Links to external sites are provided for convenience; we are not responsible for their content or policies.

15) Communications & Newsletter

• 15.1 If you subscribe to our newsletter, you consent to receive periodic emails. You can unsubscribe at any time via the link in the email.
• 15.2 Operational or service-related emails (e.g., invoices, project updates) may still be sent as necessary.

16) Governing Law & Disputes

• 16.1 These Terms are governed by the laws of England & Wales.
• 16.2 Courts of England & Wales have exclusive jurisdiction, but we’ll always try to resolve issues amicably first.

18) Changes to These Terms

18.1 We may update these Terms from time to time. The updated version will apply from the posted effective date.

19) Miscellaneous

• 19.1 If any part of these Terms is invalid, the rest remains effective.
• 19.2 These Terms, together with any SOW/quote/confirmation, form the entire agreement for the services described there.
